| Abstract: | Diplomová práce se zabývá komparací jednotlivých právních forem osobních a kapitálových společností dle zákona o obchodních korporacích, a to z pohledu vybraných kritérií. Těmi jsou vkladová povinnost společníků a tvorba základního kapitálu, zdanění zisků společností, ručení společníků za dluhy společnosti, možnost úpravy vnitřní organizace společnosti a vybrané otázky v rámci oblasti jednání společnosti navenek. |
| Abstract in different language: | The diploma thesis with the topic "Criteria for the selection of legal form of business company in the Czech Republic" brings a comparative perspective on the institutes of contribution obligation and related duty to create a registered capital, further guarantor's obligation of partner in the personal and capital companies, possibility to adjust the corporate internal structure with the outlining of advantages (or disadvantages) of mentioned organizational structures and also ways in which members of statutory bodies can act, including consequences of any breach of such ways. |
