| Abstract: | Předmětem diplomové práce na téma "Střet zájmů člena voleného orgánu obchodní korporace" je souhrnem problematiky právního komplexu střetu zájmů a zásad "soft law" v podobě Kodexu správy a řízení společností v podmínkách právního řádu České republiky. Práce je rozdělena do kapitol a podkapitol, které se detailněji věnují střetu zájmu a dalším právním konsekvencím. Cílem této diplomové práce je pomocí metody komparace provést souhrn rozhodných právních předpisů a soudní judikatury s dalšími terciálními normami, a umožnit tak ucelený pohled na problematiku střetu zájmů volených orgánů obchodní korporace z pohledu dvou, na první pohled, zcela odlišných souborů pravidel - zákonné úpravy a kodexu správy a řízení. |
| Abstract in different language: | The subject of the thesis on "Conflict of Interest of a Member of an Elected Body of a Commercial Corporation" is a summary of the legal complex of conflict of interest and the principles of soft law in the form of the Corporate Governance Code in the legal system of the Czech Republic. The work is divided into chapters and subchapters, which deal in more detail with conflict of interest and other legal consequences. The aim of this thesis is to use the method of comparison to summarize the relevant legal regulations and court case law with other tertiary norms and thus to provide a comprehensive view of the issue of conflict of interest of elected bodies of a corporation from the perspective of two, at first glance, completely different sets of rules - the statutory regulation and the Corporate Governance Code. |
