| Abstract: | Tato práce se věnuje problematice právnických osob v mezinárodním právu soukromém a je rozdělena na tři části. První část je zaměřena více teoreticky, soustředí se zejména na otázky spojené s určením osobního statutu aplikované na konkrétní případy členských zemí Evropské unie. Druhá část práce je soustředěna na možnosti přeshraničního přemístění sídla dle českého práva a práva Evropské unie. Vzhledem k tomu, že právo Evropské unie se rozvíjí i na základě rozhodnutí Evropského soudního dvora, tato kapitole se věnuje i stěžejním rozhodnutím právě v této oblasti. Cílem poslední části je představit evropské nadnárodní formy společností, jejich účel a postavení v rámci národních právních systémů. |
| Abstract in different language: | This paper is devoted to the legal entities in private international law and it is divided into three main parts. The first part, which is more theoretical, intends to explain the theories of applicable company law by the examples in European countries. Secondly, the other part of this work describes the possibilities of the international transfer of the seat under Czech law and European law. European law is highly developed by the judgements of the European court of justice. Judgements, which are crucial for the transfer of the seat are also analysed in this paper. The aim of the last part is to present the European supra-national companies, their purpose and their place in the national legal systems. |
